The information provided on this website, in our NFTs, and associated communications is for general informational purposes only. Nothing herein constitutes investment advice, financial advice, or an offer to sell or a solicitation to buy any security or financial instrument.

2. No Investment Intent

The NFTs sold under this platform, including land-based NFTs tied to property access in Ghana, and any associated tokens such as the WHY Token, are not investment products. They are utility-based digital assets intended to provide:

• Access to real estate services

• Membership benefits

• Community experiences

• Digital proof of land access and lease rights

No expectation of profit from the purchase, holding, or resale of these assets should be assumed.

3. Land NFT Legal Structure

Each Land NFT represents:

• A digital collectible tied to a lease agreement for physical land in Ghana

• A non-transferable access license subject to local real estate laws

• Proof of priority access and ownership rights via smart contract records

Buyers will receive a separate legal lease agreement executed in accordance with Ghanaian land laws. Ownership or use of the NFT alone does not constitute legal land ownership without executing the required off-chain lease documentation.

4. Utility Token: WHY Token

The WHY Token is a utility token with the following functions:

• Accessing member-only benefits (e.g., early land access, events, discounts)

• Governance participation (community decisions)

• Redeemable perks within the ecosystem

The WHY Token is not a security and is not intended for speculative purposes. It is not a share of a company, does not pay dividends, and does not confer any ownership or profit-sharing rights.

We do not guarantee the future value, liquidity, or market performance of the WHY Token.

5. No Profit Guarantee

You understand and agree that:

• Purchasing our NFTs or tokens is not an investment

• We make no claims about resale value, appreciation, or market demand

• You are purchasing for personal use, access, and experience only

6. Geographic Restrictions

Due to regulatory uncertainty in certain jurisdictions (including the United States), we reserve the right to:

• Restrict or prohibit NFT and token sales to residents of certain countries

• Require KYC/AML verification before completing purchases

U.S. residents may be limited in their ability to access certain token features or resale platforms.

7. Taxes

Buyers are solely responsible for:
